Section 30
<br> to publish prospectus
After the commencement of this Act, the prospectus for the public issue of securities in accordance with this Act shall be approved by the Board and shall publish the prospectus for the information of all concerned. Thus, while publishing the prospectus, the place where the general public can obtain or view the prospectus must also be disclosed in the prospectus. (2) Notwithstanding anything written in sub-section (1), it is not necessary to issue a prospectus when issuing the following securities:- (a) Securities issued by Nepal Rastra Bank. (b) Securities issued under the full guarantee of the Government of Nepal, (c) Securities offered for sale to a maximum of fifty persons at a time, (d) Securities issued to their workers or employees, (e) Board approval for issuance and sale without issuing a prospectus.
